COMMUNICATION WITH RESPECT TO THE ORGANISATION, MANAGEMENT AND CONTROL MODEL UNDER ITALIAN LEGISLATIVE DECREE 231/2001.
Italian Legislative Decree 231 dated 8 June 2001 introduced criminal liability for companies (legal persons) where certain offences are committed or there is an attempt to commit them by directors, employees and those subject to the direction or supervision of the companies, in the latter’s interest or for its benefit. This liability is in addition to the existing liability of the natural person that materially carried out the act. Company liability is ruled out if an organisation, management and control model (Model 231) designed to prevent such crimes, has been adopted and effectively implemented before the crimes are committed. In accordance with Italian Legislative Decree 231 dated 8 June 2001, in order to guarantee correct and transparent conditions when conducting company business, the Board of Directors of NATOLINO Trasporti srl passed a resolution on 22 October 2022 adopting its own company Model 231 and set up its Supervisory Committee. The Natolino Trasporti Code of Ethics is part of its Model 231 , which also contains a disciplinary system for punishing breaches of the measures contained in the Model 231. The Supervisory Committee appointed by the Board of Directors is responsible for supervising the efficacy, operation and compliance of the Model 231 and for ensuring it is kept up to date.
